By using helix-meridian.com, or any Helix Meridian software product or professional service, you agree to these terms. If you do not agree, do not use them. We may update these terms; the “last updated” date above reflects the current version, and material changes affecting an active engagement will be notified to that customer.
Helix Meridian LLC provides (a) cloud-hosted software products for manufacturing operations, including a digital andon and escalation system and live plant-floor KPI displays, and (b) professional services — data pipeline and ERP integration, KPI dashboard development, identity and access governance, and the ongoing support of those systems. Anything provided free of charge, including any evaluation or pilot, is provided “as is”. Every paid engagement, whether product subscription or professional services, is governed by the order form and master agreement executed between the parties, which control over these terms in the event of any conflict.
A managed pilot runs 30 days on a first site. The pilot fee is due on execution of the order form and is payable before implementation begins; Helix Meridian is not obliged to begin or continue work for any period that has not been paid. Unless you give notice of cancellation at least 7 days before the pilot period ends, a 12-month term commences automatically at the end of the pilot; cancelling within that window carries no further charge. You retain all data generated during the pilot, and Helix Meridian will export it in CSV format on request within 30 days of pilot end. The executed order form governs in the event of any conflict with this section.
Helix Meridian products and services are informational. They are not emergency, life-safety, security or alarm systems, are not rated or certified as such, and must not be relied on as the means of summoning help in an emergency or of protecting any person from harm. Maintain independent, appropriately rated systems for those purposes.
You may not use the products or services for any unlawful purpose, to store sensitive personal data beyond what is required for plant operations, or to attempt unauthorized access to Helix Meridian infrastructure or to another customer’s data.
Where no executed agreement applies, Helix Meridian LLC’s liability is limited to the amount paid by you in the 12 months preceding any claim, and we are not liable for indirect, incidental or consequential damages. Where a master agreement or order form has been executed, the liability provisions of that agreement govern instead.
These terms are governed by the laws of the state in which Helix Meridian LLC is organized, without regard to its conflict-of-laws rules. Disputes shall be resolved in the courts of that state. Helix Meridian will identify that jurisdiction on request, and the order form governing a paid engagement states it expressly.
